End User License Agreement

This End User License Agreement (hereinafter referred to as the "Agreement") is entered into by and between:

Licensor: The Resilient People Ltd, Fox Corner, Chester road, Hartford, CW8 1LL

Licensee: Your Business

Collectively referred to as the "Parties" and individually as a "Party."

WHEREAS, Licensor owns certain digital product, hereinafter referred to as the "Product," which includes various components and content;

WHEREAS, Licensee desires to obtain a license to use the Product subject to the terms and conditions set forth herein;

NOW, THEREFORE, in consideration of the mutual covenants contained herein, the Parties agree as follows:

Grant of License:

1. Licensor hereby grants Licensee a non-exclusive, non-transferable license to use the Product, including its components and content, solely for the purposes set forth in this Agreement.
2. Licensee acknowledges that the license granted is limited to the specified number of users or instances, as agreed upon between the Parties.

Permitted Use:

1. Licensee may use the Product for its internal business operations, including but not limited to the operation of a Nursery Business, subject to the terms and limitations specified herein.
2. Licensee may not sell, distribute, sublicense, lease, modify, reverse engineer, or create derivative works based on the Product without prior written consent from Licensor, except as expressly permitted under this Agreement.

Intellectual Property Rights:

1. Licensee acknowledges that Licensor retains all rights, titles, and interests in and to the Product, including all intellectual property rights associated therewith.
2. Licensee shall not remove or alter any copyright notices, trademarks, or other proprietary markings on the Product.

Restrictions:

1. Licensee shall not use the Product for any illegal, unauthorized, or unethical purposes.
2. Licensee shall not disclose, transfer, or provide access to the Product to any third party without the prior written consent of the Licensor.

Ownership of Components:

1. Licensee acknowledges that Licensor retains ownership of each individual component of the Product.
2. Licensee shall not extract, reproduce, or use individual components of the Product independently or outside the scope of this Agreement.

Termination:

1. Either Party may terminate this Agreement with written notice if the other Party breaches any material term or condition of this Agreement.
2. Upon termination, Licensee shall cease all use of the Product and delete or destroy any copies of the Product in its possession or control.

Limitation of Liability:

Licensor shall not be liable for any indirect, incidental, consequential, or special damages arising out of or in connection with the use of the Product.

Governing Law and Jurisdiction:

This Agreement shall be governed by and construed in accordance with the laws of The United Kingdom. Any disputes arising out of or in connection with this Agreement shall be subject to the exclusive jurisdiction of the courts of Great Britain.

Entire Agreement:

This Agreement constitutes the entire understanding between the Parties concerning the subject matter hereof and supersedes all prior discussions, agreements, or representations, whether oral or written.
